Article I -- Name, Colors & Insignia
Section
1 - The name of this organization shall be
Cumberland Valley Corvette Club, Inc.
Section 2
- The initial registered office of the organization shall be
in the Borough of Carlisle, Cumberland County, Pennsylvania.
Section
3 - The colors of the Club shall be Blue and
White.
Section 4 - The insignia
shall be that as adopted by the membership.
Article II -- Purpose
Section 1
- To provide constructive, and safe activities as an outlet
for the energies of the Corvette owner, and to conduct these activities in such
a manner as to foster a good relationship between the Club and the community; to
develop and promote safe and lawful driving by precept and example.
Article III -- Membership
Section 1
-- Any Corvette owning/leasing/company car person and spouse
interested in the organization shall be eligible to apply and maintain active
membership.
Section 2 -- All
applications shall be in writing and forwarded with the initiation fee and first
year full dues to the Vice President.
Section 3
-- All applicants for membership must be sponsored by a
current member in good standing.
Section 4
-- An application which is forwarded to the Vice President
will be read at the monthly membership meeting. At the following
membership meeting the application will again be read for review. At
this time a majority vote of the members present shall be required to approve
the applicant for membership.
Section 5
-- Honorary non-dues paying, non-voting membership may be
conferred for meritorious service. To be voted on as outlined in Article
III, Section 3 and 4.
Section 6 --
Any member who commits unlawful acts or whose conduct is otherwise detrimental
to the purpose of this organization may be suspended or expelled from the
organization, upon recommendation and due investigation of the Board of
Directors, and with a majority vote of all members present at a regular
meeting. Voting shall be by secret ballot.
Section
7 -- Any member in suspended status shall be
denied the right to vote or perform the duties of any office in this
organization.
Article IV -- Dues
Section 1 --
The amount of the initiation fee and membership dues of the organization and the
time and manor of payment, thereof, shall be recommended by the Board of
Directors and approved by the membership.
Section 2
-- Any member whose dues are in arrears for a period of thirty
(30) days shall forthwith be suspended from membership. Any member whose
dues are in arrears for a period of ninety (90) days shall automatically cease
to be a member. Treasurer shall provide notice of dues owing to all
members who are in arrears for a thirty (30) day period.
Article V -- Government
Section 1
-- The elected officers of the Club shall consist of the
following: President, Vice-President, Secretary, Treasurer, and Governor.
Section
2 -- The Board of Directors shall consist of
the officers listed in Article V, Section 1, plus five (AMENDED November 2003
from four; AMENDED November 1998
from three; AMENDED November 1997 from two) elected Club members and the Past
President.
Section 3 -- The Board
of Directors shall control the property and management of the organization,
subject to the will of the membership. Funds of this organization shall be
withdrawn from the bank or banks with which they are on deposit by the joint
signature of the Treasurer and appointed members of the Board of Directors.
Section
4a -- The Board of Directors shall meet
monthly. A majority of the members of the Board of Directors shall be
necessary to constitute a quorum, and the acts of the majority of the Board of
Directors at a meeting shall be the acts of the Board of Directors.
Section
4b -- Records of Actions taken from the
Board of Directors meeting shall be presented in the newsletter.
Section
5 -- Vacancies in the Board of Directors
shall be filled by vote of the Board of Directors; such appointees to serve
until the next regular election.
Section 6
-- In the event that any Director or Officer shall fail to
attend two (2) consecutive meetings of the Board of Directors or a total of four
(4) meetings of the Board of Directors in a fiscal year, he/she shall be
automatically removed from office unless the Board of Directors affirmatively
vote to retain him/her in office. Lateness shall not constitute an absence
unless so determined by the Board of Directors.
Section
7 -- In the event that any Director or
Officer shall fail to attend two (2) consecutive business meetings without due
cause as determined by the general membership, he/she shall be automatically
removed from office unless the general membership affirmatively votes to retain
him/her in office.
Section 8 -- All
Officers and Board members shall be voting members.
Article VI -- Elections
Section 1
-- AMENDED JANUARY 1984 -- The elections of the Officers of
the organization shall take place at the November membership meeting.
Notice of such meetings shall be mailed to each member at least ten (10) days
prior thereto.
Section 2 -- AMENDED
JANUARY 1984 -- Nomination of Club Officers and Directors shall be open during
the membership meeting in September and October.
Section
3 -- Officers and Directors shall take
office at the first meeting of the new fiscal year. January 1 through
December 31.
Section 4 -- Voting
shall be secret ballot and a majority vote of the members present, entitled to
vote is necessary, for a candidate to be elected.
Section
5 -- Officers and Directors shall be elected
for a term of one (1) year.
Section 6
-- Any office without a candidate for election shall be
considered vacant.
Article VII -- Membership Meetings
Section 1
-- This organization shall hold at least one (1) business
meeting each month, the time and place thereof to be designated by the Board of
Directors.
Section 2 -- Five (5)
members shall constitute a quorum for all meetings of the organization.
Section
3 -- The President may call special meetings
for the Board of Directors.
Section 4
-- The Board of Directors may call special meetings of the
membership, upon receipt of written request from any five (5) members.
Section
5 -- Notice of all meetings shall be made 48
hours in advance.
Article VIII -- Duties of Officers
Section 1
-- The order of authority shall be: President, Vice President,
Secretary, Treasurer, and Governor.
Section 2
-- The President shall supervise the organization's affairs
and activities, appoint committees, and make an annual report thereof to the
membership.
Section 3 -- The Vice
President, under the direction of the President, shall supervise the
organization's affairs, activities, and applications for membership.
Section
4 -- The Secretary shall give notice of all
regular and special meetings and shall keep a permanent record of the actions
taken at such meetings and shall be custodian of all official records of the
organization.
Section 5 -- The
Treasurer shall issue notices of dues payable and be responsible for the
collection thereof. Maintain the financial books of the organization,
disburse funds at the direction of the Board of Directors and shall report in
detail at the monthly membership meetings or such other times as directed, on
the financial condition of the organization. It will be the responsibility
of the Board of Directors to have an annual audit.
Section
6 -- The Governor shall represent the
organization at such functions as deemed necessary by the Board of Director and
shall oversee the organizations's competitive events.
Article IX -- Committees
Section 1
-- The President shall determine the committees deemed proper
and necessary to fulfill the objective and purpose of the organization, as well
as to complete the projects adopted by the general membership.
Section
2 -- A committee chairperson shall be
appointed by the President.
Section 3
-- The President and Vice President shall be ex-officio
members of all committees.
Article X -- Rules of Order
Section 1
-- Roberts Rules of Order shall govern all proceedings of all
meetings of the organization and its constituent parts except as provided in
these By-Laws.
Article XI -- Safety
Section 1
-- A safety committee may be appointed to review any actions
by an individual club member deemed to be unsafe or detrimental to the
organization's purpose.
Section 2
-- The use, possession, transportation or purchasing of
alcoholic beverages may be prohibited at any of the organization's meetings or
activities. Anyone under the influence of alcohol or drugs may not be
permitted to take part in the organization's meetings or activities. A
person may be expelled as set forth in these By-Laws.
Article XII -- Amendments
Section 1
-- These By-Laws may be amended by a two-thirds vote of the
members present at any regular or special meeting, providing each active member
is given thirty (30) days advanced written notice of such proposed amendments.
